Terms of service
Last updated 19 October 2026
We’re finalising this page with our lawyers. The substance won’t change without notice to customers.
These terms are an agreement between Clutched (“we”, “us”) and the business or person that creates a Clutched account (“you”). By creating an account or using Clutched, you agree to them. If you’re accepting for a company, you confirm you have authority to bind it.
1. The service
Clutched lets you create, send and track proposals, contracts and invoices, collect electronic signatures, and take payments through payment providers you connect. We may improve and change features over time; if we remove something important to a paid plan, we’ll tell you in advance.
2. Your account
- You must give accurate details and keep them up to date, and be at least 18.
- You’re responsible for keeping sign-in details safe, for what happens under your account, and for the people you invite and the roles you give them. Tell us straight away if you think your account has been misused.
- Clutched is for business use. Consumer protection laws that can’t be excluded still apply where relevant.
3. Plans, billing and cancellation
- The Free plan has limits on users, documents sent, templates and AI requests, and shows “Made with Clutched” on documents and emails. Paid plans and their limits are shown on our pricing page and in the app.
- Paid plans are charged per user, in advance, monthly or yearly, and renew automatically until cancelled. Prices exclude taxes such as VAT or sales tax, which are added where they apply.
- You can cancel at any time in Settings. Your plan stays active until the end of the period you’ve paid for and isn’t renewed; we don’t refund partial periods unless the law requires it. Adding users part-way through a period is charged pro rata.
- If a payment fails and isn’t resolved, your workspace moves to the Free plan. Your data is kept.
- We may change prices with at least 30 days’ notice. Changes apply from your next renewal.
- Enterprise plans are agreed separately in writing; where that agreement differs from these terms, it takes priority.
4. Your content
You own everything you put into Clutched, including your documents, client details and branding (“your content”). You give us permission to host, copy, process and display your content only as needed to provide and secure the service for you, and to send it to the people and services you direct. You confirm you have the right to use your content and to share your clients’ details with us for this purpose, including giving them any privacy information the law requires.
5. Electronic signatures
Clutched records each signature with the signer’s details, the time, IP address and a fingerprint of the exact document, and produces a signing certificate. Electronic signatures are valid for most business agreements in the UK, EU and US, but some documents (for example deeds that must be witnessed, wills, and certain property or court documents) may need a different form of signature. You’re responsible for deciding whether an electronic signature is suitable for your document. We don’t provide legal advice, and we’re not a party to the agreements you sign with your clients.
6. Payments from your clients
Card and bank payments are made directly to your own account with the payment provider you connect, under your agreement with that provider. We don’t hold your money and aren’t responsible for those providers’ services, fees, refunds or disputes. The same applies to accounting and CRM services you connect.
7. AI features
AI can draft and design content for you, but it can make mistakes. Review everything before you send it: you’re responsible for what you send to your clients, including prices, terms and claims. Content you generate belongs to you, as far as the law allows.
8. Acceptable use
You must not use Clutched to:
- break the law, infringe anyone’s rights, or commit fraud, including sending documents that impersonate another business;
- send spam or unsolicited bulk messages;
- upload malware, or try to break, overload, probe or get around the security or limits of the service;
- access other customers’ data, or resell the service without our written agreement.
We may suspend accounts that breach these rules, especially where there’s a risk to other users or to the service. Where it’s reasonable, we’ll warn you first and give you a chance to fix the problem.
9. Privacy and data protection
Our privacy policy explains how we handle personal data about you. When we process personal data on your behalf, such as your clients’ details, our data processing agreement forms part of these terms.
10. Availability and support
We work to keep Clutched available and secure, but we can’t promise it will be uninterrupted or error-free, and we may need planned maintenance. Unless an Enterprise agreement says otherwise, there’s no service level guarantee.
11. Ending your account
You can download your data and delete your workspace at any time in Settings. Deleting a workspace permanently deletes its content (backups expire within 7 days) and cancels any subscription. We may close accounts that seriously or repeatedly breach these terms, or end the service with at least 60 days’ notice, giving you time to export your data.
12. Liability
- Nothing in these terms limits liability that can’t be limited by law, such as for death or personal injury caused by negligence, or for fraud.
- Apart from that, neither of us is liable for loss of profits, revenue, business, goodwill or data, or for indirect or consequential loss.
- Each party’s total liability under these terms in any 12 months is limited to the greater of the fees you paid us in those 12 months and US$100.
- Except as set out in these terms, the service is provided “as is”, without other warranties.
13. Changes to these terms
We may update these terms. For significant changes, we’ll tell account owners at least 30 days before they take effect. If you don’t agree, you can cancel before then.
14. General
These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction. If part of these terms can’t be enforced, the rest still applies. Neither of us is responsible for delays caused by events beyond our reasonable control. You may not transfer this agreement without our consent; we may transfer it to a company that takes over the service. Questions about these terms: contact us through the app.
